1. Introduction
These Terms of Service ("Terms") govern access to and use of Humanitarian Ops (the "Service"), operated by United Flows ("United Flows", "we", "us", "our"). By accessing or using the Service, or by accepting these Terms in an order or agreement, you agree to be bound by them.
If you accept these Terms on behalf of an organization, you confirm that you are authorized to bind that organization, and "you" refers to that organization.
Where a separate signed agreement or order form exists between you and United Flows, that agreement prevails over these Terms to the extent of any conflict.
2. The Service
Humanitarian Ops is a platform for non‑governmental organizations and donor‑funded programs — covering areas such as proposals, grants, beneficiaries, distributions, monitoring and evaluation, and donor reporting, alongside supporting operations modules. It is offered as a hosted (cloud) service and, for eligible organizations, as an on‑premises or private‑cloud deployment.
We may improve, change or discontinue features over time. We will not make changes that materially reduce the core functionality of a paid plan during its term without a reasonable alternative or notice.
3. Accounts and access
Organizations are onboarded by our team, and administrators may create additional users within their organization. You are responsible for:
- keeping login credentials confidential and enabling available protections such as multi‑factor authentication;
- all activity that occurs under your organization's accounts;
- the accuracy of the information you provide; and
- ensuring your users comply with these Terms.
You must notify us promptly at info@unitedflows.com if you believe an account has been compromised.
4. Acceptable use
You agree not to:
- use the Service unlawfully, or to store or process data you are not permitted to;
- attempt to access another organization's data, breach access controls, or probe, scan or test the security of the Service except through our responsible‑disclosure channel;
- disrupt or overload the Service, or use it to distribute malware;
- reverse‑engineer or copy the Service except to the extent permitted by law; or
- resell or provide the Service to third parties except as expressly agreed.
You are responsible for the lawful basis for any personal data — including beneficiary and program data — that you enter into the Service, and for obtaining any required consents. Our handling of that data is described in Section 6.
5. Customer data
As between you and us, you retain all rights to the data your organization enters into the Service ("Customer Data"). You grant us the limited rights needed to host, process and deliver the Service to you, and to provide support.
You are responsible for the accuracy and legality of Customer Data and for having the right to provide it to us.
6. Privacy, beneficiary data and our role
Our handling of the account, billing and website data for which we decide the purpose is described in our Privacy Policy (/privacy).
For the beneficiary, household and program data your organization enters, your organization is the data controller and United Flows acts as a data processor, processing that data only on your instructions. That processing is governed by our Data Processing Agreement (DPA), available on request, which forms part of these Terms where it applies.
The Service provides security controls described in the Privacy Policy (including encryption in transit and at rest, field‑level encryption of direct beneficiary identifiers, role‑based access and audit logging). You remain responsible for configuring access appropriately within your organization.
7. Plans, fees and payment
- Licensing. Paid access is licensed per organization on an annual basis, priced by the tier or band agreed with us. Unless stated otherwise in an order, licences include unlimited users within your organization.
- Founding Partner Pilot. Where an organization is accepted into a free pilot, the Service is provided at no charge for the stated pilot period, in exchange for the participation agreed with us. Pilot access may be ended or converted to a paid plan at the end of the pilot.
- Invoicing. Fees are invoiced annually in advance, in USD unless otherwise agreed. We accept purchase orders and vendor‑registration processes. Card payments, where offered, are handled by our third‑party payment provider.
- Taxes. Fees are exclusive of taxes; you are responsible for any applicable taxes other than taxes on our income.
- Renewal. Annual terms renew as set out in your order. Either party may elect not to renew by giving notice before the end of the then‑current term.
- Non‑payment. We may suspend the Service for overdue fees after giving reasonable notice.
8. Intellectual property
The Service, including its software, design and content (excluding Customer Data), is owned by United Flows and its licensors and is protected by intellectual‑property laws. We grant you a non‑exclusive, non‑transferable right to use the Service during your subscription, solely for your organization's internal purposes and subject to these Terms.
If you send us feedback or suggestions, you grant us a non‑exclusive, royalty‑free right to use them to improve the Service, without obligation to you.
9. Third‑party services
The Service relies on third‑party providers (for example hosting, payments and, where you enable them, optional integrations). Those services are governed by their own terms, and we are not responsible for third‑party services outside our control. Optional integrations are enabled at an administrator's choice.
10. Availability and support
We provide the Service using commercially reasonable efforts and provide support at the level associated with your plan. Except where a separate service‑level agreement is in place, the Service is provided without a guaranteed level of uptime, and we may perform maintenance from time to time.
11. Suspension and termination
We may suspend or terminate access if you materially breach these Terms (including non‑payment or misuse) and, where the breach is capable of cure, do not cure it within a reasonable period; or where required to protect the Service, other customers, or comply with law.
You may stop using the Service at any time. On termination, your right to use the Service ends. Export or return of Customer Data following termination is handled as set out in the DPA or your order; after the applicable period, we may delete Customer Data in the ordinary course.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non‑infringement. We do not warrant that the Service will be uninterrupted, error‑free, or that it will meet every requirement. We describe our security controls honestly and do not claim certifications that have not been independently verified.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, arising out of or relating to the Service. Each party's total aggregate liability arising out of or relating to these Terms is limited to the fees paid or payable by you for the Service in the twelve months before the event giving rise to the liability.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.
14. Indemnification
You will defend and indemnify United Flows against third‑party claims arising from your Customer Data or your use of the Service in breach of these Terms, except to the extent the claim results from our breach of these Terms.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where changes are material, provide a more prominent notice or notify organizations as set out in their order. Continued use of the Service after changes take effect constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the country in which United Flows is established, and the competent courts of that jurisdiction have exclusive jurisdiction over any dispute, without prejudice to any mandatory rights or protections available to you under the laws of your own country. The parties will first attempt to resolve any dispute in good faith.
17. General
- Entire agreement. These Terms, together with any order form, the Privacy Policy and (where applicable) the DPA, are the entire agreement between you and us regarding the Service.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or transfer of the business.
- Severability. If any provision is unenforceable, the remaining provisions stay in effect.
- No waiver. A failure to enforce a provision is not a waiver of it.
